Endorsemii is a positive endorsement platform that allows users to receive and give gold star reviews to highlight positive interactions and contributions within their network. Please read these Terms and Conditions ("Terms") carefully, as they govern your use of our services, including our website (https://www.endorsemii.com/), mobile apps, and related software or features (collectively referred to as the "Platform" or "Endorsemii").

By accessing or using Endorsemii, you agree to comply with these Terms and any additional policies linked here or on the Platform. If you do not agree with these Terms, please do not use Endorsemii.

1. Changes to these Terms

Endorsemii is continuously evolving to improve our services. Consequently, we may make changes to the Platform or these Terms from time to time. We reserve the right to modify these Terms for various reasons, including business updates, legal requirements, or other legitimate interests.

If any material changes are made that may negatively impact you, we will make reasonable efforts to provide at least one month's notice before the changes take effect, typically through a notification on the Platform. Your continued use of Endorsemii after such changes signifies your acceptance of the revised Terms. If you do not agree with the changes, we kindly ask that you discontinue using Endorsemii and deactivate your account.

2. Your Account

To create an Endorsemii account, you must be at least 18 years old. If you are creating an account on behalf of someone else, you must have their explicit permission. You are responsible for your account and must ensure its lawful use. By creating an account, you agree to comply with these Terms and confirm that you are legally capable of entering into this agreement with us. Keep your account information accurate, and promptly update it if any changes occur.

If you are using Endorsemii on behalf of a business or individual, you confirm that you are authorized to accept these Terms on their behalf. Safeguard your account login details and password, and do not share them with others. If you suspect your account has been compromised, contact us immediately. Do not assign or transfer your account to others or use it in a manner that may harm Endorsemii or our reputation or infringe on the rights of others or any applicable laws and regulations.

3. Your Content

Endorsemii appreciates the diverse endorsements and content our users share. However, we require that all users adhere to our Community Standards, which outline the permissible and prohibited content on the Platform. It is your responsibility to follow these standards, and failure to do so may result in the suspension or permanent removal of your account.

When we mention "your content," we refer to the text, graphics, videos, links, and any other materials you add to your Endorsemii profile or endorsements you leave on others' Endorsemii profiles. You are responsible for your content, and by posting it, you warrant that:

• The content you post is your own, or if you use third-party materials, you have the necessary rights to share them on Endorsemii and grant us the rights described in these Terms.


• Your content does not infringe upon the privacy, publicity, intellectual property, or other rights of any individual or entity.


• Your content is accurate, truthful, and not misleading or deceptive. It should not violate any laws and should not harm our reputation.


• Your content is free of harmful elements such as viruses or disruptive code that could damage the Platform or other systems.


• You do not use automated collection tools, scripts, or scraping tools to gather information from profiles or the Platform.


• You refrain from posting unauthorized ads, solicitations, or endorsements on Endorsemii.


• Your content aligns with our Community Standards.

Please note that while some content may be legal in one region, it may be illegal or restricted in others. We reserve the right to ban content that violates local laws and regulations. Endorsemii may remove or restrict access to content at our discretion if it violates these Terms or our Community Standards.

4. Use of Your Content by Endorsemii

Endorsemii values your content and may use it for promotional purposes. When you post content on your Endorsemii profile, you grant us a license to use, publicly display, distribute, modify, adapt, and create derivative works from that content. This license also extends to using your name, image, voice, photograph, likeness, and any other personal attributes contained within your content for promotional and marketing purposes across all media channels. While you retain all rights to your content, please be aware that it will be publicly accessible and may be shared by others on Endorsemii and the internet at large. We may also provide you with Data Analytics or other representations of data generated from your use of the Platform.

5. Suspension or Cancellation of Your Account

Failure to comply with these Terms may result in the suspension or cancellation of your Endorsemii account or other actions taken regarding your account. The specific actions we take will depend on the nature and severity of the non-compliance. While we aim to provide prior notice in most cases, we are not obligated to do so. Please note that refunds for any fees paid in advance are not provided if your account is suspended or canceled. 6. Your Responsibility for Your Visitors and Customers

As an Endorsemii user, you are responsible for your profile visitors, including customers who purchase goods or services through your Endorsemii profile, collectively referred to as "End Users." You are solely responsible for how End Users engage with your profile and content and for ensuring compliance with all applicable laws regarding your End Users and transactions conducted through Endorsemii features. You acknowledge that any donations received through our "Tip Me" feature are voluntary and do not imply an expectation of receiving goods or services in return. This feature should be used exclusively for personal donation collection and not for fundraising on behalf of charities or other causes.

7. Feedback

We welcome your feedback on how we can improve Endorsemii. At times, we may introduce "beta" functionality for testing and may seek your feedback. If you provide feedback to us, we have the right to use it without payment to you or to choose not to use it at all. We may make certain functionality available to you in "beta" mode, and while we strive to ensure its accuracy and completeness, it may not be as reliable as other parts of the Platform.

8. Our Platform

Endorsemii grants you a limited, revocable, non-exclusive, and non-transferable right to use the Platform for sharing endorsements/content and interacting with or sharing endorsements/content and interacting with other users. Please note that we are not responsible for any content, products, or services offered by other users on their profiles. All rights, including Intellectual Property (IP) Rights related to the Platform (excluding your content), are exclusively owned by Endorsemii or our licensors. You may not use the Endorsemii IP, including our brand name or logo, for any purpose without our prior written approval. When you visit Endorsemii profiles as a "profile visitor," you are granted a limited, non-exclusive, and non-transferable right to view and interact with the Platform through user profiles.

9. Fees and Payment

Subscription Fees: If you choose a paid plan, ensure that you pay subscription fees on time. These fees are typically in USD and may include transactional taxes like GST/VAT, unless specified otherwise. Subscription fees are billed in advance on a recurring basis, depending on your selected billing cycle. At the end of each billing cycle, your paid plan will automatically renew under the updated Terms, unless you decide to cancel. When you sign up, provide accurate billing details and a valid payment method (like a credit card). This authorization allows us to charge the applicable fees. In case of automatic billing failure, you’ll receive an online invoice that needs to be settled within the specified timeframe.

Endorsemii Transaction Fees: For transactions made through your profile, such as "Request Link" or "Support Me," there may be a percentage-based transaction fee based on your chosen plan. These fees are outlined on our pricing page and will be deducted from the transaction amount before crediting you. You are responsible for any external fees, taxes, and income taxes related to payments received through the Platform.

Processing Fees: Transactions on Endorsemii are facilitated by external payment processing services (e.g., PayPal, Stripe, Square), each of which has its own fees, terms, and conditions. You should review, accept, and comply with the terms of the respective payment processor. Endorsemii is not responsible for these fees.

Changes in Fees and Advance Notice: We may periodically adjust subscription or transaction fees. If changes are made, we will provide prior notice, typically at least one month in advance. If you disagree with the updated fees, you have the option to cancel your plan before the next billing cycle begins.

10. Privacy

Your privacy and the privacy of your Profile Visitors are important to us. Please review our Privacy Notice, which explains how we handle your personal data for internal purposes. Additionally, our Data Processing Addendum (DPA) outlines your obligations and ours regarding the privacy rights of visitors to your profile. By creating your account, you confirm that you have read, understood, and consented to the DPA. For information on our cookie usage, refer to our Cookie Notice.

11. Confidentiality

At times, we may share confidential information with you, such as upcoming features during beta testing. If we share such confidential information, you must keep it confidential and secure and take reasonable measures to prevent unauthorized access.

12. Liability

You acknowledge that we are not responsible for how you use the Platform. You must maintain backups of your own endorsements, and we are not liable for any damages resulting from actions such as downloading, installing, or using the Platform or copying, distributing, or downloading content from it.

You agree to indemnify us against any losses arising from your breach of these Terms or third-party claims related to your content. Neither party will be liable for indirect, punitive, special, incidental, or consequential damages, including business losses, revenue, profits, privacy, data, goodwill, or other economic benefits.

Our liability to you under these Terms or related to the Platform will not exceed the greater of the fees you paid us in the 12-month period before the liability arose or $100.

13. Disclaimers

Endorsemii is provided "AS IS" and "AS AVAILABLE," without any warranties, whether express or implied, including uptime, availability, or implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We make no guarantees that the Platform will function uninterrupted, securely, or be available at all times.

14. Third-Party Services

Endorsemii collaborates with various third-party products and services. We may provide access to specific third-party features or services within the Platform, such as payment portals or online stores. Unless explicitly stated otherwise, we do not endorse or make warranties about any third-party products or services, nor do we offer refunds for payments made to third parties. Your use of any third-party product or service may be subject to separate terms and conditions, which you are responsible for reviewing, accepting, and complying with.

15. App Terms

To use our app, you must download and install the software on your mobile or tablet device. We may automatically update the app, and these Terms will apply to any updates. Specific terms apply to the download and use of our app:

• You are granted a limited, revocable, non-exclusive, non-transferable right to download and install the app on a single device that you own or control.


• Do not distribute the app or make it available over a network accessible to multiple devices.


• Upon account cancellation, delete the app from your device.


• If you download the app from the Apple or Google Play stores ("App Stores"), you agree that these Terms are between you and Endorsemii (not the App Store). However, if these Terms conflict with the App Store terms, the applicable App Store terms prevail.

16. Open Source

The app includes open-source software components, some of which are subject to their own specific license terms. You can find these terms in our Open-Source Content library, accessible in the 'Legal' section of the app. If the license terms of a specific open-source component conflict with these Terms, the relevant license terms will govern your rights and responsibilities for that component.

17. Governing Law

These Terms are subject to the laws of Nevada and any relevant federal laws. Both you and Endorsemii agree to the exclusive jurisdiction of the courts in Nevada.
